Travis: Great. Now tell me, what are Articles of Incorporation?
Jake: Articles of Incorporation are the document that says, "This is my company." Here's the information that you need that the state requires for them to set up the company –– such as the company name, the business address, sometimes they require stock and par value, registered agent information, different pieces of information that the state requires in order to get your company set up within their system.
Travis: So this is the document that, along with the Bylaws, is actually filed with the state?
Jake: Well, the Bylaws do not get filed with the state. Only the Articles of Incorporation get filed with the state.
Travis: OK.
Jake: The Bylaws are kept in your record book.
